Announcement on Request for Proposal Global Co-ordinator and/or Bookrunner for the IPO of Borsa İstanbul

Borsa İstanbul A.Ş., the sole exchange entity of Turkey, intends to launch an Initial Public Offering for the sale of shares, tentatively amounting to 42.75% of its existing share capital, owned by the Republic of Turkey Prime Ministry Undersecretariat of Treasury (the “Treasury”), with the objective of their listing in Turkey. For this purpose and with the authority granted by the Decree of the Council of Ministers of Turkey numbered 2014/6747, Borsa İstanbul initiates a selection process to elicit proposals from potential intermediary institutions or development and investment banks to act as Global Co-ordinator and/or Bookrunner in the public offering which is anticipated to be finalized before December 31, 2015, with a possible extension through 2016 upon the decision of the Minister in charge of the Treasury.

The proposal shall be prepared and submitted pursuant to the Request for Proposal for the selection of an intermediary to act as the Global Co-ordinator and/or Bookrunner in the Initial Public Offering of the shares, tentatively amounting to 42.75% of Borsa İstanbul’s existing share capital, owned by the Treasury (the “Request for Proposal”), which may be obtained (both in hard and soft copy) from Borsa İstanbul’s headquarter in Reşitpaşa Mahallesi, Tuncay Artun Caddesi, Emirgan 34467, İstanbul, Turkey, from March 2, 2015 until March 6, 2015 between 9:00 a.m. and 5:00 p.m. (GMT+2).

The documents necessary for picking up the Request for Proposal are:

• brief information of the proposer together with a contact person, its phone and fax number, and e-mail address;

• duly issued power of attorney in original and, if applicable, its certified translation into Turkish language (notarized and duly authenticated), (expressly authorizing to pick up the Request for Proposal on behalf of the proposer).

Additional information and clarifications with regard to the Request for Proposal may be obtained based on a written request to the attention of Mr. Alpay Aykut, Strategic Planning and Investor Relations Department Director, to the e-mail address of investorrelations@borsaistanbul.com. The deadline for submission of requests for additional information and clarification expires on March 6, 2015, at 5:00 p.m. (GMT+2). 

Proposals must be submitted at the latest on March 10, 2015 by 5:00 p.m. (GMT+2) at Borsa İstanbul’s headquarter in Reşitpaşa Mahallesi, Tuncay Artun Caddesi, Emirgan 34467, İstanbul, Turkey. Electronic submission of PDF versions of the Proposal and its annexes (duly signed by the authorized signatories of the proposers) is acceptable if made to the attention of Mr. Alpay Aykut, at the e-mail address of investorrelations@borsaistanbul.com, on condition that the hard copies thereof are submitted, by personal delivery, at the latest on March 13, 2015, by 5:00 p.m. (GMT+2) at Borsa İstanbul’s headquarter.

All Proposals, their annexes and all other relevant documentation which shall be submitted during the selection process shall be prepared in both Turkish and English languages. In case of any discrepancy and/or conflict between the Turkish and English versions of the documents, Turkish version shall prevail.
